Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and NYK Line ("Company," "we," "us," or "our") concerning your access to and use of our website, mobile applications, and shipping services.
By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.
Our Services
1. Service Scope
NYK Line provides maritime transportation and logistics services including, but not limited to:
- Container shipping and freight forwarding
- Bulk carrier and car carrier services
- Terminal operations and warehousing
- Logistics solutions and supply chain management
2. Service Availability
We strive to maintain continuous service availability but do not guarantee uninterrupted access. Services may be modified, suspended, or discontinued at any time with or without notice.
3. Booking and Contracts
Each shipment booking constitutes a separate contract of carriage subject to our standard terms and conditions, bill of lading terms, and applicable international conventions.
User Responsibilities
You agree to:
- Provide accurate and complete information for all bookings and shipments
- Comply with all applicable laws, regulations, and customs requirements
- Properly package and label cargo according to industry standards
- Declare all dangerous goods and comply with IMDG Code requirements
- Pay all fees, charges, and duties in a timely manner
- Maintain the security of your account credentials
- Not use our services for any unlawful or prohibited purposes
Prohibited Activities
You may not:
- Ship prohibited or illegal items including contraband, weapons, or unlicensed goods
- Provide false or misleading information about cargo contents
- Attempt to circumvent security measures or access restrictions
- Interfere with the proper operation of our systems or services
- Use our services to transmit harmful code, viruses, or malware
- Violate any applicable sanctions or export control regulations
Pricing and Payment
1. Rates and Charges
All rates are subject to change without notice. Quoted rates are valid for the specified period and may include various surcharges such as bunker adjustment factor (BAF), currency adjustment factor (CAF), and peak season surcharge.
2. Payment Terms
Payment is due according to the agreed credit terms or prior to cargo release. Late payments may incur interest charges and additional fees.
3. Currency
All charges are in U.S. Dollars unless otherwise specified. Currency conversion, if applicable, will be at our prevailing exchange rate.
Limitation of Liability
1. Carrier Liability
Our liability for cargo loss or damage is limited as per the applicable international conventions including:
- Hague-Visby Rules
- Hamburg Rules
- Rotterdam Rules (where applicable)
2. Maximum Liability
Unless otherwise agreed, our maximum liability is limited to $500 per package or the freight charges paid, whichever is greater, unless a higher value is declared and additional charges paid.
3. Exclusions
We are not liable for delays, consequential damages, force majeure events, acts of God, war, strikes, or circumstances beyond our reasonable control.
Claims and Disputes
1. Claims Procedure
All claims for loss, damage, or delay must be submitted in writing within the time limits specified in the applicable bill of lading or international convention.
2. Time Limits
Claims must generally be filed within 9 months of delivery or scheduled delivery date. Legal action must be commenced within one year.
3. Dispute Resolution
Disputes shall be resolved through arbitration in Tokyo, Japan, in accordance with Japanese law, unless otherwise agreed.
Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
